Limited Partnership

Register a limited partnership with general and limited partners.

Limited Partnership Registration in Canada

Bringing in investors who want to share in the profits without running the business? Registering a Limited Partnership lets you raise money from partners while protecting their personal assets. We handle the filing with the government registry and send you the proof of registration by email.

What Is a Limited Partnership?

A Limited Partnership (LP) has two kinds of partners:

  • General partner: manages the business day to day and has unlimited personal liability for its debts. Many LPs use a corporation as the general partner.
  • Limited partners: invest in the business and share in the profits, but their liability is limited to the amount they invested.

Every LP needs at least one general partner and at least one limited partner.

Limited Partnership vs General Partnership

  • Liability: In a general partnership, every partner is personally liable. In an LP, only the general partner is.
  • Management: In a general partnership, all partners can manage the business. In an LP, limited partners stay passive. A limited partner who takes part in managing the business can lose their limited liability.
  • Registration: An LP only exists once its declaration is filed with the provincial registry, so registering it correctly matters.

Why Choose a Limited Partnership?

  • Raise money from investors without giving up control of the business
  • Protect investors’ personal assets
  • Profits and losses flow through to the partners for tax purposes
  • Common for real estate, film, and other investment projects

What You Need to Register

  • The name of the limited partnership
  • The business activity and address
  • Names and addresses of the general partner and each limited partner
  • A Nuans name search report, if required
