Common questions about incorporating in New Brunswick

How much does it cost to incorporate in New Brunswick?

Our standard New Brunswick incorporation is $549 plus HST. It includes your Articles of Incorporation, Notice of Directors, Notice of Registered Office and Certificate of Incorporation. A named corporation also needs a NUANS name search report ($50). Optional extras like CRA accounts, a minute book or a custom share structure are on the order form and our price list.

Should I choose a numbered or a named corporation?

A numbered corporation uses its registration number as its name, for example 100001 New Brunswick Inc. It is quicker and does not need a NUANS report. A named corporation lets you choose your own name, such as Smith Plumbing Inc., and needs a NUANS name search first. If you start numbered, you can still add a trade name or change the name later.

Should I incorporate in New Brunswick or federally?

A New Brunswick corporation is registered with Service New Brunswick and suits most local businesses. A federal corporation gets name protection across Canada, but it must still register in each province where it carries on business, including New Brunswick. If you plan to stay mainly in New Brunswick, a provincial corporation is usually simpler.

Do I need a New Brunswick address?

Yes. A New Brunswick corporation needs a physical registered office address in the province. A PO box or virtual mailbox is not accepted.

Do directors have to live in Canada?

No. New Brunswick does not require directors to be Canadian residents. You will need each director's full name and address for the Notice of Directors.

What do I need to do after I incorporate?

Every corporation files an annual return with Service New Brunswick each year (we can file it for you for $175 a year) and a T2 corporate tax return with the CRA, even in a year with no income. You should also keep your minute book up to date, and register for HST once your taxable sales pass $30,000 over four calendar quarters in a row, or sooner if you choose. Call us at (506) 854-6490 if you would like help with any of these.
